| 摘 要： | 公司人格否认相对于公司人格独立属于衡平性规范。衡平性规范的品格在于非规范性、模糊性和补充性。我国司法解释关于公司人格否认的规定存在的诸多缺陷皆渊源于对该制度性质的认识偏差。因此,进一步完善该制度的路径在于:回归衡平性。

| Abstract: | Disregard of corporate personality are the equitable norms concerning the independence of corporate personality. The characteristics of the equitable norms are non-standard, non-definition and supplementary. The defects of the judicial interpretation in China about the system of the disregard of corporate personality result in the deviation of the cognition. The path to perfect the system is returning its equitable characteristics. |
