| 摘 要： | 公司治理的目标是考虑利益相关者需要的全体股东价值最大化。股东价值是连接公司内外部资产和资本控制绩效目标的纽带。全面公司治理结构应是内外部公司治理结合的股东价值管理体系,在公司治理结构中要加强对股东价值创造过程的管理,就要形成公司治理目标导向的资本和资产经营的价值控制体系。

| Abstract: | The aim of company management is considering shareholders' max value, which is the tie connecting the internal and external capital and capital control performance.A whloe management structure of a company is a shareholders' value management system concerning the internal and external management.In company management structure,it is necessary to strengthen the management of shareholders' value creation and form a value control system in company's aim-oriented capital and capital management. |
