企业所有权安排与治理机制的权变模式研究

投入企业的生产要素主要包含人力资本和财务资本。随着经济环境、技术条件的改变,两种要素对企业的贡献不断发生变化,从而影响企业所有权安排。单纯研究公司治理,会忽视对大量非公司的企业组织及其治理机制的研究。本文着眼于对一般企业所有权安排和治理机制的研究,提出企业所有权安排和治理机制受到企业发展阶段、产权结构、技术特点等方面的影响,不同的企业并不存在一个普遍的最优所有权安排,同一企业所处的内外部环境也不断变化。企业应引入权变治理的观念,根据不同情境选择不同所有权安排和治理机制。 

Study on the Model Enterprise of Enterprise Ownership Structure and Administration Mechanism

The main essential factors in the enterprise include the human capital,and financial material capital.With the change of the economic and technical conditions,the negotiating capability of the essential factors changes accordingly.These will influence the ownership structure.The factors,which could change the negotiating capability,include the size,the environment and the technology of the enterprise.In this sense,it is impossible for different enterprise to choose the same ownership structure.Even the same enterprise should select different ownership structure and adminisration mechanism in different situations.
