| 摘 要： | 我国私募基金长期游离于法律监督之外，尤其是私募基金的发行募集信息披露，亟须一套完整的法律规范加以规制。我国私募基金发行信息披露制度构建中，应当借鉴美国的成熟经验，结合我国的具体情况，强化信息披露及风险揭示，应依照不同的投资者建立不同的信息披露制度。

| Abstract: | For a long time, the private equity fund has been out of the control of law in China, especially the release of its issuance. A information release mechanism of this issuance must refer to US experiences and, in light of China＇s reality, reinforce the risk release and set up different information release mechanism according to different investors. |
