| 摘 要： | 文章对外资并购我国的国有企业可能产生的两面性进行分析,指出当前外资并购的新特点及对我国经济的危害性,从而应对其进行积极方面的规制,提出了一些具体的制度化建议和规制的特殊制度,以对此进行立法上的控制和防范.

| Abstract: | This paper studies the new character of M.&A.by foreign capital and its harm through an analysis of the advantages and disadvantages it may cause when the foreign capital takes over our state-owned enterprises.The paper puts forward some concrete institutional suggestions and special system of regulation in order to well control and standardize it on legislation. |
