| 摘 要： | 由于国内特殊的市场背景及相关法律制度的欠缺 ,涉及国有股的管理层收购目前存在很大的风险隐患。完善信息披露、公司内外部监管和公平股价等相关配套法律制度 ,是使MBO在国有经济战略性调整中发挥积极作用的必要之举。

| Abstract: | Because of domestic special market background and deficient legal system , the administration purchase related to state-owned shares exist the great risk at present. Perfecting the legal system of information disclosure, company management inside and outside and fair tock price is necessary for MBO in state-owned economic strategical reajustment. |
