| 摘 要： | 新《破产法》规定的破产撤销制度需要从理论上进行全面解读方能准确适用。破产撤销行为 涵盖不当行为和个别清偿行为两种。符合破产撤销条件的公益捐赠行为应当认定为不当行为 给予撤销;个别清偿行为应当借鉴美国立法加以细化。
