论有限责任公司股东优先购买权的权利界定

为维护有限责任公司股东间的信赖利益 ,我国公司法赋予了股东优先购买权。该规定表面上看似具体 ,但实务中出现的新情况却使其出现了适用上的疑义———其他股东能否对欲转让的股权中的一部分而非全部行使优先购买权 ?作者从立法本意和法理角度进行分析得出 ,股东行使优先购买权的条件———同等条件 ,应既包括同等价格又包括同等数量 ,股东不能对欲让股权中的部分行使优先购买权。只有在立法上坚持这一价值取向才能最大限度地平衡老股东、出让股东和第三人之间的利益 ,从而实现立法意图和目的

On the Right Definition of the Stockholder''''s Preemptive Right in the Limited- liability Company

In order to safeguard the trust interests between the stockholders,the company law entitles the stockholders preemptive right.The regulation seems concrete,but the question is whether the stockholder,when he exercises his preemptive right,can buy only part of equity capital transferred by the other stockholders.The author's opinion is the condition of exercising preemptive right-equal conditions,shall include the equal numbers as well as the equal price.The stockholder can't buy only part of equity capital transferred by the other stockholders,when he exercises his preemptive right.
