浅议超越经营范围

经营范围在我国作为企业必备的登记事项 ,在企业整个经营过程中起着至关重要的作用。因企业经营范围而出现的“越权规则” ,随着我国经济发展对企业超越经营范围的行为从绝对无效到非绝对无效的认识 ,以及在我国立法上对企业经营范围无明确立法的现状 ,要求从法律的角度进行探讨。对企业超越经营范围在我国的现状、国外对该问题的认识以及我国民法学理论对其的态度的分析后 ,对企业超越经营范围的效力的认识 ,从根本上讲应将企业经营范围简单化 ,归结为任何合法的目的 ;从我国目前状况 ,视具体情况 ,可将企业超越经营范围的效力分为行为有效、行为可变更或者撤销、行为无效三种情形区别对待

On Excess of Business Scope

As one of enterprise's required registration items in our country, business scope plays a vital and essential role in the process of corporate operation. With the development of economy in our country, we changed our attitudes towards excess of business scope from absolute nullity to non-absolute nullity, and we have no definite legislation on business scope in our country. As a result, it is imperative to make a legal study of ultra vires rule resulted from business scope. Based on the analysis on the situation of excess of business scope in our country, the understanding of business scope in other countries and the attitude towards business scope adopted in the theory in science of civil law, business scope should be simplified and prescribed into whatever lawful intent. In view of our present and specific situation, the validity in excess of business scope can be divided into three cases (valid act, modifiable and revocable act and invalid act) and should be dealt with respectively and differently.
