外商购并中国企业，是外商投资中国的一种新的形式，有着非常广阔的前景，尤其是国有企业改革和原有外商投资企业的改组，为此带来了更多的购并机遇，但我国现有关于外商购并的法律尚不完善，必须结合中国改革开放的实际和国际购并的惯例，去研究外商购并的相关法律问题，这样才能更好地保护外商的权益，吸引更多的外商参与中国建设。

Foreign businessmen's purchase and annexation of China's enterprises is a kind of new form of foreign investment in China. This kind of new form has a very broad vista, especially in the respect of the reformation of the state enterprises and the reorganization of the original the enterprise with foreign investment, and it brings more opportunities for the purchase and annexation. However, we have not had a perfect law of the foreign businessmen's purchase and annexation up to now. Therefore we have to study and investigate the law of the foreign businessmen's purchases and annexation, add corresponding law agreements in order to protect foreign businessmen's profits and attract more foreign businessmen to invest in China.
