| Abstract: | The loyal duty of forbidding to compete with employers is an important issue in commercial law.Legislation insufficiencies and improvement suggestions about this loyal duty of the director,the manager,the employee and the agent are put forward.Also the question how to enhance the maneuverability of liability clauses as to breaking the duty is discussed. |
