| 摘 要： | 对<公司法>第60条第3款规定的"董事"应如何理解,在理论和实践上都具有重要的意义.文章从解释学和法律适用等方面,指出该条中的"董事"应作个别董事解释,而不宜解释为"董事会".为使公司法对董事善管义务规定得更加科学和准确,文章进一步对<公司法>第60条第3款提出了修改的立法建议.

| Abstract: | A proper comprehension of the concept "Director" in Art.60 (3) of Company Act is of essential theoretical and practical significance. From legal interpretation aspect and legal application aspect, this article submits that the norm "Director" in this article should be interpreted as individual directors, not "the board of directors" in the company. Aiming to have the Company Act regulations on the Duty of Care and Duty of Loyalty of the directors more scientific and more precise, the article further puts forward a legislative proposal on modifying Art.60 (3) of Company Act. |
