| 摘 要： | 随着公司的经营活动对社会生活产生越来越大的影响，要求公司承担社会责任的呼声日益高涨。美国许多州在其公司法中融入了利益相关者条款，以立法的形式授权董事会采取措施维护公司利益相关者的利益，公司社会责任理念由此在美国公司法中开始生根。

| Abstract: | With corporate business activity taking more significant impact on social life,there is a stronger plea for improving corporate social responsibility.Many states in U.S.adopt corporate constituent clauses in their corporate law,authorizing board of directors to take measures to protect the interest of corporate constituencies.The idea of corporate social responsibility thereby takes roots in U.S.corporate law. |
