公司高管勤勉义务履行之探讨

摘    要:勤勉义务是信义义务的核心内容之一,它是公司高管对公司应履行的义务,高管不履行勤勉义务将导致民事责任的产生。对于勤勉义务履行的认定,我国一方面可以在立法中授权当事人通过约定的方式明确履行的认定标准,另一方面就是通过立法细化确立认定标准。严格要求未履行勤勉义务的公司高管承担责任可能带来负面影响,为此,我国可以借鉴国外的做法,建立公司补偿和责任保险等保障机制,减少高管因其违反勤勉义务履行所遭受的损失。

Abstract:The duty of care is one of the core content of the fiduciary duty. It is a duty which company executives must fulfill.If company executives don't fulfill the duty of care, they will bear civil liability. There are two ways to confirm whether company executives have fulfilled the duty of care. One is to authorize the parties by the legislation to plight identification standard, the other is to make the legislation more detailed. If company executives don't fulfill the duty of care, they are required to undertake the responsibility, which may have a negative effect. Therefore, in order to reduce the loss, we can draw on the experience of foreign countries and establish the safeguard mechanism such as company indemnification and responsibility insurance.
