| 摘 要： | 金融是现代经济的核心，而银行在一国金融体系中具有特殊地位，发挥着独特作用，但是银行业由于自身的特点，又具有内在的不稳定性。对资不抵债的高风险金融机构实施破产退出，是净化金融市场。保证金融体系健康、稳健发展的重要手段。由于商业银行破产的提出存在着正负效应，自身运行也有问题，就需要从主体法律制度、程序法律制度等方面来进行具体设计，并从立法体系、运行机制、补偿机制、责任机制等宏观层面来进行制度架构，以完善商业银行破产制度，进而促进金融市场的健全发展。
