析议内幕信息的界定

内幕交易严重违背了证券市场公开、公平、公正的原则,是我国《证券法》明确禁止的交易行为。内幕信息是内幕交易的前提,没有内幕信息就不存在内幕交易。因此,研究内幕信息,对于我们正确把握内幕交易的本质,有效打击内幕交易,具有重要的意义。本文在考察国内外关于内幕信息立法、司法等基础上,探讨如何界定内幕信息,并提出完善我国相关立法的对策建议。

Definition of inside information

Insider dealing violates the principles of openness,fairness and justice in securities market,and is forbidden by the Securities Law in China.Inside information is the guarantee of insider dealing.So the research of inside information is significant for us to correctly understand the nature of insider dealing and combat insider dealing.In this paper,based on investigation of legislation and judicial proceedings against inside information at home and abroad,how to define inside information is discussed and the countermeasures to perfect the concerned legislation in China are proposed.
