| 摘 要： | 文章认为我国国有企业在公司制改造过程中,企业资产运作效率和发展能力问题并未得到彻底解决.要搞好国有企业,必须着眼于企业制度的整体优化;其中,企业产权制度、股权结构、法人治理结构和产权激励是关键,笔者就此分析了国有企业制度安排中存在的问题,并提出如何构建富有效率的公司制度的措施.

| Abstract: | The article believes that the problems of operational efficiency and development of enterprise capitals have not been resolutely solved in the process of state - owned company reform in China. Enterprise system as a whole should be optimized among which property right system, share structure, legal person management and property share stimulation play critical roles. The author probes into the problems and advances some measures. |
