浅析独立董事制度之利弊

作为公司权力中决策与制约机制的自律性改良，独立董事制度从英美国家起源、发展到风靡全球的实践，已成为公司治理的热点。中国引入这一制度的时间不长，学术界对其评价褒贬不一、莫衷一是，导致实践中的许多问题悬而未决。独立董事制度应该被引入中国，但现阶段它在中国公司治理中仍发挥有限作用。

Advantages and disadvantages of independent-director system

There have been a number of discussions concerning the origin, development and application of the independent-director system. It has not been very long since this system was introduced into China from western countries. There are debates about its functions when it is applied in corporation management in China due to the special situations. It is clear that it has some advantages to some extent, however, it also has some disadvantages too. It is argued that this system will benefit China though within limited application areas. However, some problems should be attended to first.
