| 摘 要： | 商法研究中的一个核心问题是商法的独立性,对该问题的发掘要通过与民法比较来实现。虽然商法与民法有着各种联系,但二者之间的区别更为显著。从社会事实与立法技术角度而言,商法与民法的区别既是必然的,又是可能的。实践中虽然有实质商法的概念,但它与形式商法一样,也会展现商法规范的独立性。

| Abstract: | The core problem of research of commercial law is the independence of commercial law,the exploration of which needs a comparison between commercial and civil law.Though there are similarities between them,their differences are remarkable.From the points of view of social reality and legislation technique,the differences between them are both inevitable and eventual.In practice,substantial commercial law comes forth,yet just as the formal commercial law is,it will exhibit the independence of commercial law too. |
