关于改进国有银行法人治理结构问题的思考

法人治理结构是指企业的组织架构和基本制度安排,其核心是选择出最有效率的决策者,并对决策者施加一系列的激励和约束,以确保其作出最有效率的决策。健全的银行公司治理结构在银行经营中的作用极其重要,要实现中国国有商业银行改革的目标,公司治理必须被视为最关键和最具战略地位的改革步骤。因此,必须认清目前我国国有银行公司治理结构存在的问题,尽快着手对其改进并逐步完善。

Corporate governance is organizational framework of businesses and basic system arrangement,the core of which is to select the most efficient decision- maker and impose series of incentive and constraints on the decision- maker to ensure him/or her to make the most efficient decision.Sound banking corporate governance plays very important role in banking management,which should be regarded as one of the most vital and the most strategic steps of reform i order to make a triumph in the reform of state-owned banks.Therefore,problems existing in constructing of corporate governance structure in the state-owned banks must be made out,and measures for improvements and consummation should be taken as soon as possible as well.
