| 摘 要： | 有限公司增资扩股的法律机制较为复杂,包括形式上的合同机制以及实质上的公司组织机制与股东保护机制。在合同法、民法视野下分析增资扩股,造成仅关注增资扩股的形式机制与法律效果而忽略实质机制与过程特点的后果,这些思路并不妥当。中国公司法的规定影响了增资扩股的及时性和有效性,有限公司具有回避法定程序、擅自增资扩股的冲动,应当在立法上予以改进,以回应有限公司的融资需求。

| Abstract: | The limited company has complicated legal mechanisms of increase in capital,which include contractual mechanism in form and corporate organizational mechanism and shareholder-protection mechanism in essence.It is improper to analyze the mechanisms of increase in capital from the perspectives of contractual law and civil law,which only focus on the legal effects and formal mechanism and ignore the essence and procedural traits.The provisions of the company law preclude the promptness and validity of the company′s financing,so the limited company tends to evade the legal process and increase the unauthorized capital.Some regulations should be improved to meet the financial need of the limited company. |
