| 摘 要： | 本文阐述了定向发行方式的基本概念及在我国资本市场上的应用状况,并结合TCL的吸收合并案,分析了定向发行方式对集团公司整体上市和ST②公司公允重组的导向意义,指出了在此过程中存在的不足和应该注意的问题。

| Abstract: | This paper setsforth the basic conception of the style of orientate offer and itsstate in Chinesecapital market. Based on the case of TCL's merge by absorption, the paper analyzes the guidance of the style on the integer listed companies and fair reorganization of ST corporations. The defect and problems in the process as well solutions are proposed in the last part of the paper. |
