| 摘 要： | 国有企业法定代表人权力腐败是导致国有资产流失的一个重要原因.自90年代以来"穷庙富方丈"是人们形容国企财富再分配的一个生动比喻,在国企纷纷倒闭的同时,一批身为国企的法定代表人(董事长、厂长)百万富翁却脱颖而出,问题的症结在哪里?人们已从道德批判、内部人控制等诸多方面进行过探讨,本文从法律制度入手对这一问题进行分析,指出当前我国部分国企法定代表人权力腐败的症结在于经济转型时期法定代表人的制度存在着严重缺陷.因此,要想遏制此种腐败现象,必须坚持标本兼治,从抓大案要案尽快步入到立法建制和制度创新上来.

| Abstract: | An important cause of the loss of the state assets is the power corruption of the legal representatives of the state-owned enterprizes. This article explores the phenomenon from the perspective of law and points out that an effective legal system is urgently needed to curb this corruption. |
