| 摘 要： | "注册资金担保"是我国公司制度在发展过程中走过的一段弯路,早已被有关法律法规和最高人民法院在前解释否定,但现又被最高人民法院的二件司法解释所肯定,致使该解释不但与现行法律法规相悖,而且与先前的司法解释相互矛盾,更重要的是,"注册资金担保"本身就违反法理,应加以修改.
