论国有独资公司治理结构中的权力制衡机制

国有独资公司治理结构的实质是将公司的控制权在股东、董事会、经理层和监事会之间进行合理分配,并在四个机关间形成既协调又相互制衡、权责利一致的高效领导体制。国有股权一元化使国有独资公司的权力制衡机制面临挑战。在立法明确国家作为所有者的权利和义务的前提下,应该建立以董事会为核心的权力制衡机制。

On the Check-and-balance Mechanism of the Right in the Management Structure of the State-run Single Proprietorship Corporations

The nature of the management structure of the state-run single proprietorship corporations is to distribute rationally the controlling power of the corporations among the shareholders,the board,managers and the supervising committee and to establish the efficient leadership system of both coordinate and mutual check-and-balance with unity of the right,the responsibility and benefits.The centralization of the state-own share-right makes the check-and-balance mechanism of the right in the management structure of the state-run single proprietorship confronted with challenge.Under the precondition of the right and duty that the state is the property-owner determined by the law,the check-and-balance mechanism of the right with the board as the core must be established.
