| 摘 要： | 代理与代表是两种完全不同的技术与制度.在法人代表问题上,一直存在着将其处理为代理或代表的争论.比较来看,代表说更具有科学性与优越性.法人代表制是法人制度的重要组成部分,而在我国尚未形成系统性的规范,有待在精心设计中进一步得到健全与发展,以期使法人制度日臻完善.

| Abstract: | Representation and agency are completely different techniques and systems. In the issue of the relationship between juristic person and its representative, the theory of representation provides a more scientific and more reasonable explanation than the theory of agency. In order to establish a series of perfect provisions, suggestions on the main contents of the representative system of juristic person are also been given. |
