| 摘 要： | 商业银行不良资产问题已经成为危害全球金融体系稳定的顽疾，通过结合中国不良资产处置发展的脉络，考察了外资参与中国资产管理公司不良资产处置的可能性及必要性，并就其参与的三种主要方式组建合资公司、打包处置和不良资产离岸证券化当中存在的法律障碍加以分析，针对亟待解决的问题提出应明确金融资产管理公司的公司类型并建立规范的法人治理结构，对中国现行分业经营体制的除外规定作出解释，制定《金融资产管理公司法》和《资产评估法》，同时理顺外汇管制问题，以期利于中国不良资产处置，同时提高中国银行抗击金融风险及应对外资银行竞争的能力。
