| 摘 要： | 证券欺诈是证券市场常见的违法行为，也是我国证券监管机关重点打击的对象。针对目前学界在证券欺诈有关问题上的争议，本文提出，证券欺诈是一种包括若于证券违法行为在内的民事侵权行为，法律应对其规定全面的法律责任形式，特别是应完善民事责任制度。

| Abstract: | Securities fraud is a common offence in stock market and of course also a key-point object to crack down on in the economic field-Directed against the current controversy over Issues concerning securities fraud among academic circles, this paper is of opinion that securities fraud in the forms of securities indiscipline and offence is a civil trespass against which legislative bodies should promulgate acts or decrees to provide all-inclusive forms of legal liability and especially should improve on the system of civil liability. |
