| 摘 要： | 在传统社会商人与政府及其代理人官吏之间存在着严重的不平等关系,但他们之间的经济行为仍然具有明显的契约性质,文章主要利用现代经济学中的合约理论对晋商与政府结合的原因和影响进行了探讨.研究表明,晋商正是利用同封建政府及其官吏之间的"合约"锁定关系,节约了交易成本,规避了诸多市场风险,在明清商界盛极一时.然而,在晋商发展的后期,随着产权结构的变化、交易成本和各种风险的递增,官商之间特殊的合约锁定关系则成为晋商走向衰落的主要推动因素.
