| 摘 要： | 本文通过对股东代表诉讼中公司的诉讼地位、诉讼权利和义务、诉讼结果中公司利益等问题的研究,对公司在股东代表诉讼中的法律地位进行了比较全面的分析,并且对我国股东代表诉讼制度的建立和完善提出了自己的见解。
