| 摘 要： | 世界各国的公司治理模式可以依据监控途径划分为内控型模式和外控型模式。我国在经过几十年的公司制度的探索之后,对于内控型模式的研究已经颇为深入,然而对于外控型模式的比较和借鉴却尚显薄弱,笔者针对我国对外控型模式的现实需求以及路径选择进行了探索,希望有助于我国公司治理模式的进一步完善。
