On the Liability of Subscription for the Stockholders of Limited Liability Corporations

This article points out that the Company Law legislation provisions about the liability of subscription for stockholders are yet to be improved, since the registered capital is not real and relevant legal problems caused by excess subscription still need to be further researched. This article elaborate over how should the stockholders protect their stockholder's rights through legal means, when the controlling stockholders will damage the interests of the corporation by taking advantage of the controlling power and eventually damage the stockholders' rights.
