| 摘 要： | 阐述公司治理结构功能的基本理论和风险资本的不同特点 ,探讨出现阶段我国风险资本投资治理结构上存在某些制度缺陷 ,分析了造成这种制度缺陷的深层原因 ,并提出了构筑适合我国国情的风险资本投资治理结构可供选择的对策及设计方案

| Abstract: | This test studies some system limitations to father framework of chinese venture capital on the foundation of the structure and function of the company management and different characteristics of venture capitals. Then it discovers the deep reason which results in the system limitation. Finally the paper brings forward the countermeasures and the designed blue print to build Chinese venture capital's father framework. |
