我国企业集团管理现状及对策

企业集团这一典型经济组织形式,具有多法人、有联结纽带、多样化经营、多功能和多国化等特征.目前我国企业集团初步建立以资本为纽带的母子公司体制,但企业集团内部集权与分权模式存在较大差异,治理有待改进.为此,一方面企业集团在内部要按照现代企业制度要求,建立规范的法人治理结构,建立科学的运行机制,大力实行经营结构的战略性调整,提升企业集团竞争实力.另一方面,国家在外部要完善我国<公司法>、<企业破产法>、<反不正当竞争法>及国有资产授权经营等方面的法律、法规,为我国企业集团的健康发展创造良好的法制环境.

Current Situation of Management in China's Business Groups and Measures Suggested to Take

Business Group, as one of typical economic organizations, is characterized by multi-corporate, interconnecting, diversifying operation, multifunction and multinational. At present, China's business groups have established preliminarily parent-son relationship between headquarters and branches or subsidiary companies with capital taken as their ties. Concerned with the authority in management of those business groups, however, it is found that the two types of authority, i.e., centralization and decentralization, make those groups obviously different. The fact reveals that their management systems are to be improved further. So, a business group shall establish a normalized internal administration system in which final decisions shall be made by the legal representative in accordance to modern business scheme, with a scientific running mechanism developed to implement the strategically structural readjustment of business operation so as to enhance its competitive potential. On the other hand, China's legislature shall perfect the laws and decrees as external supports, such as "Law of Corporations", "Law of Bankruptcy of Corporations", "Law against Unfair Competition" and other laws and regulations with respect to the authorized business operation of state-owned assets, thus providing a well-ruled environment by law, where China's business groups will find more opportunities for sound development.
