债权让与受让人利益之保护

本文认为，《中华人民共和国合同法》第83条关于债权让与的规定对加速经济流转的意义是应当充分肯定的。但由于该条只规定了债务人的抵销权，从而使善意受让人的利益暴露在法律保护之外，为弥补这一立法漏洞，作者建议赋予善意受让人撤销权和赔偿请求权，以求民商法在衡平各方当事人利益上的公平正义。

Protection of Assignee Interests in the Assignment of Credit

This article holds that the effect of Article 83 provisions of assignment of credit in The Contract Law of the People's Republic of China ( hereinafter referred to as Contract Law ) on speeding up economic circulation is to be recognized. However, this clause merely provided for the right of setoff, which exposes the good faith assignee's interests beyond the protection of law. To make up for this legislative loophole, the writer proposes that good faith assignee be granted the rights of rescission and the right to damages to achieve fairness and justice on the basis of balancing the interests of the parties in civil-commercial law.
