| 摘 要： | 有限责任公司股权的取得并非尽善尽关，瑕疵股权的转让是司法实务中不可回避的问题。瑕疵股权的表征复杂，其仍然具有可转让性。瑕疵股权转让中一方面需要维持公司稳定，另一方面应注意保护善意受让人的合法权益并衡平受让人和公司债权人的利益。同时，我们需要妥善处理瑕疵股权转让后的义务及责任承继问题。

| Abstract: | Share obtaining of the limited liability company is not perfect. The transfer of defective shares is a problem that judicial practice must face. Characteristics of defective share are very complex. However, it is still negotiable. In the aspect of the transfer of defective shares, on the one hand, we need maintain stabilization of company. On the other hand, we should pay attention to protecting legal right of cessionary in good faith and balance right between cessionary and company＇s creditors. At the same time, we should deal with inherits problem of correlative obligation and duty properly |
