认可与规制:试论我国一人公司的立法取向--兼对几点疑虑的回应

一人公司的出现是经济发展和公司法制完善的必然产物,国外的立法和公司实践业已证明了一人公司的客观存在性。我国现有的一人公司立法存在诸多缺陷,而且给执法和司法实践造成许多问题.立法应当面向生活实际,跨越抽象争议,明确认可一人公司的法律地位,并对一人公司的设立和运行给予相应规制,既顺应经济发展趋势,又维护公司法上的利益均衡,特别是对公司债权人的法律保护。

Recognition and Regulation:A Study on the Legislative Tendency of Single-member Company in Our Company Legislation

The appearance of single-member company is the inevitable product of economy development and company-legality improvement,whose objective existence has been justified by foreign legislation and company experience. There are some defects in our present legislation on single-member company, which have resulted in many problems during the course of enforcement of law and justice. Therefore, legislation should facing reality, surpassing abstract defutes,recognize clearly the legitimate status of single-member company,and take correspond-ing regulations.Thus,it will both adapt to the tendency of economy development and safeguard the interest balance in company law,special protecting the creditors' benefit of the company.
