| 摘 要： | 员工持股制度不失为构建现代企业制度的有效途径之一,我国现阶段亦在逐步实践当中。文章从介绍美国员工持股制度入手,分析其从确立、发展到完善的历史背景、理论依据及运行特点,探索借鉴其成功做法和先进经验,以充实和完善我国社会主义市场经济条件下具有中国特色的员工持股制度。

| Abstract: | The system of the employee stock ownership is one of effective paths of establishing modern enterprise system.This system is gradually practising in China at present.This article introduces the system of the employee stock ownership in America and analyses the historical underground,theoretical basis and legal model of its establishment,explores its successful practice and advanced experience in order to perfect the system of the employee stock ownership in China. |
