私法视野下对公司人格的重新解读

公司人格一直以来都是一个被广泛争议的问题，但这种争议并没有阻碍公司制度的发展，反而推动公司制度向着更为合理的方向发展，也使公司制度更具有了国际性。重新对公司人格进行解读，就是为了从另一个角度去认识公司这一组织形态。在肯定公司法人人格独立的基础上，对公司人格进行分层认识，作为法律主体，公司除了享有权利和行为自由的表象外，还享有掩藏在表象后的法律人格的平等。公司不仅仅是投资人的工具而是活生生的一个“人”，公司制度的构建、公司治理都应当以此为准则。
