刍议土地使用权出让合同的法律性质

近年来,我国房地产市场异常兴旺,土地的稀缺性和重要性正逐步体现出来.土地使用权出让合同对于保障这种宝贵资源的正常流转起着举足轻重的作用.但目前我国法律并未对其的性质作明确认定.法学理论界对此亦存在四种不同的学说:行政行为说、行政合同说、经济法律行为说、民事法律行为说.由于对土地使用权出让合同的性质在认定上认识不一,导致了法律实践上的诸多混乱,如行政合同与民事合同规则混淆;土地使用权出让合同命令色彩过于浓重;受让方权益不受尊重;出让方有职权没有得到充分而适当地行使等.本文立足于论述土地使用权出让合同的民事法律行为性质,希望借此厘清此类合同中各方权利义务,促进土地资源的有效、合理配置.

Our country real estate market is very prosperous in recent years.The scarcity and the importance of land are manifesting gradually.The land employment contract is very important for protect this kind of precious resources.But the present law doesn't cognizance its nature explicitly.The legal science theorists have four different theories regarding it.These arguments have caused many chaotic.For example: it confused the rule of administration contract and civil contract;the land employment contract displays strong administrative improperly;the buyer's right cannot be respected;the seller exercises its authority improperly,and so on.This article bases on elaborating the civil legal act nature of the land employment right contract.I wish it can analysis clear the rights and obligations of this contract.
