摘    要:近几年来 ,我国对国有企业管理要素分配制度进行了多方面有益的探索 ,目前正在国企中推行的股权激励方式 ,不仅成为解决经营管理者激励机制的一个兴奋点 ,而且成为寻求经营管理约束机制的方向之一。要科学有效地实施股权激励方式 ,应加快产权制度改革 ;规范法人治理机构 ;健全经营管理者市场化选择机制 ;完善股票发行和市场运行机制

Abstract:In recent years, our country has made beneficial probes into the distribution systems of the managerial elements of the state owned enterprises,and produced some effect. The method of stock right encouragement has not only become an effective way of solving the problem of the encouragement mechanism of the management,but also an orientation in the pursuit of the managerial restriction mechanism.The scientific and effecticve implementation of stock right encouragement requires that the property right be reformed as soon as possible,the administering structure of the legal person be standardized,the selection system of the managerial personnel's orientation to the market be strengthened, and the mechanism of issuing stock and running the market be perfected.
