中国上市公司股权结构的特殊性及对资本市场健康发展的影响

有许多因素影响“公司治理结构”的完善 ,其中 ,股权结构的构成会直接影响股东大会、董事会、监事会、经理人员的人员构成和公司的重大决策 ,并进一步影响持股比例不同的各方投资者的利益。中国资本市场的发展很不规范 ,中国的上市公司的股权结构极为特殊 ,致使中国的公司治理结构问题异常严重。本文通过分析我国股权结构的现状 ,研究了各方投资者所面临的问题及对资本市场健康发展的影响

The particularity of listed companies'equity institution and its influence on the development of capital market in China

There are many factors to influence the perfect io n of corporate governance.Amongst them,the institution of listed companies' equi t y could affect the decisions at stockholders meetings,board of directors,board o f supervisors and managers.Furthermore,it could affect the benefits of investors .Capital market in China has not become normal at present and the institution of equity of listed companies in China is very special.These cause very serious pr oblems for corporate governance.The problem faced by investors and its influence on the development of capital market are investigated in this paper.
