| 摘 要： | 针对管辖权条款是否具有排他效力这一问题，海事理论与实务中一直持否定的态度。通过比较联合国《鹿特丹规则》有关选择法院协议（管辖权条款）在批量合同的当事人之间具有排他效力，在符合特定条件下对第三人也具有排他效力之规定，探讨其规定可能给中国这样一个FOB贸易出口大国的众多中小货主带来的被动局面，并从理论上提出应对策略。

| Abstract: | The jurisdiction clause in the bill of lading is void in theory and practice.The Rotterdam Rule of United Nations stipulates that the choice of court agreements(jurisdiction provision) is effective between the parties under volume contract,and also binds the third party under the special condition.The paper discussed the passively impact of this stipulation on FOB trade on the numerous Chinese young cargo owners,and proposed the countermeasures in theory. |
