| 摘 要： | 针对我国企业实施管理层收购中出现的法律问题,结合已有的案例进行分析,从收购的主体、资金来源、转让价格和交易监管四个方面分别加以研究,提出了区分投资型公司、金融工具创新、引入竞价机制、强化信息披露和加强对中小投资者保护等建议。

| Abstract: | In this paper the legal problems occurred in the proc ess of management buyouts in our country are analyzed from the four aspects: th e subject,capital source,pricing and supervision. Based on the relevant cases in recent years, some corresponding opinions and advice,are put forward which incl ude distinguishing corporate types, financial innovation, introducing pricing me chanism, strengthening public information, and protecting minor investors. |
