| 摘 要： | 近年来中国民营企业在海外投资规模迅速发展的同时,亦面临着巨大的海外投资风险,即海外投资商业风险和国家风险。在对中国民营企业海外投资风险的种类及成因进行全面分析的基础上,从投资者自身和国家两个角度对民营企业如何防范海外投资风险提出相应的法律对策。

| Abstract: | While China's private enterprises overseas investment has developed quickly,they are also faced with a great risk,that is,the state risk and commercial risk.The paper analyzes the type and contributing factors to the risk of overseas investment,and then puts forward the legal countermeasures for preventing the risk of overseas investment from the angles of investor and state. |
