| 摘 要： | 管理者收购指企业管理人员通过外部融资机构帮助收购其所服务企业的股权,从而完成由单纯的企业管理者到股东的转变。我国国有企业中存在较严重的产权问题,建议引入管理层收购(MBO)这种较新型的企业并购方式以理顺国有企业的产权关系,这对我国国有企业和非国有企业改革具有很大的现实意义。

| Abstract: | Management buy-out means that managers buy the enterprise's stock equity with help of other capitals to become the shareholders from managers.As the fact mentioned in this text there are still serious property right problems in China's state-owned enterprises,we suggest MBO the new way of merge for enterprises to adjust well the relations between ownership and management,which is of great significance for both state-owned and non-state-owned enterprises in China |
