| 摘 要： | 基于整合企业资源、降低代理成本、提高经营管理效率 ,一种杠杆收购模式———“管理层收购”应运而生。引入英美国家MBO的发展及融资行为 ,分析国内MBO的现状及政策导向 ,抽取其中六家作为分析样本 ,对收购资金的构成和缺口资金的融通渠道展开分析 ,提出我国上市公司MBO的可能融资渠道主要有以股权为资信进行融资、通过MBO基金融资、借助信托资金方式融资、横向资金融资、公司资信融资、卖方信贷融资等

| Abstract: | Management buy out,which is one of the leveraged buy outs,is rapidly developing based on integrating enterprise resources,decreasing agency cost,and improving operate efficiency in China This paper focuses on financing of MBO First,the article reviews financial activities of MBO in United state and United Kingdom and discusses current situation and policy orient about MBO in China;Secondly,the article presents capital compositions and financing channels of MBO by six samples from listed companies;Thirdly,the article analyzes some potential financing channels for MBO in China |
