论最惠国待遇条款在投资争端解决中的适用

近年来由于许多双边投资(基础)条约中使用了"最惠国待遇条款",结果导致在投资争端解决的程序方面援引最惠国待遇条款适用了授予国与受惠国之外的第三方签订的条约,即更加优惠于基础条约中所提供的待遇,并对授予国经济造成不利影响。"最惠国待遇条款"究竟能否适用于投资争端解决事项,笔者发现不确定性的根源在于最惠国待遇条款适用范围措辞的模糊性。为此,文章深入研究了最惠国待遇条款在投资争端中的适用并指出为避免这一问题在实践中将我国置于不利地位,我们可以采取以下两种对策:第一,明确将争端解决程序排除在最惠国待遇条款的适用范围之外;第二,最惠国待遇条款的适用采取不溯及既往原则。

On the Application of Most-Favored Nation Clause in Investment Dispute Settlement

Recently,due to the application of "most-favored nation"(MFN) under most of the Bilateral Investment Treaties(BITs)/ basic treaty,the dispute settlement clause between the granting State and third Party is applied instead of the one between granting State and beneficial State,which means,the treatment hereof is more favorable than provided in the basic treaty and disadvantage for granting State’s economy.Whether the most-favored-nation clause(MFN) could be applied to dispute settlement,the author hereby found the issue of the uncertainty is the scope of the words used under MFN clause.Therefore,after deep research on the application of most-favored-nation clause in dispute settlement of investment dispute and in order to avoid taking our country into disadvantage,the author figured out two countermeasures to settle this controversial issue:first,defining that MFN clause cannot be applied in the dispute settlement;second,the most-favored-nation clause is not applied to the retroactive principle.
