| 摘 要： | 在不对现行公司法关于公司的法人属性相关规定进行变动的前提下 ,探讨公司法律人格要素 ,对于我国国有企业公司制改造 ,以及国有独资与国有控股公司的人格独立的真正实现 ,具有重要意义。公司作为独立的法律人格 ,具有许多特征 ,但堪称公司法律人格要素的只有独立的财产与独立的意思两项 ,而其本质性要素则应为独立的意思。基于此 ,在国企改革中 ,应围绕如何确保公司具备独立的意思 ,从而成为完全意义上的独立人格展开工作

| Abstract: | It is very important to study the essential factor of legal personalit y of corporation for the alteration of the state-owned enterprises and the reali zation of independent personality of the state-owned corporation and the state-c ontrolled corporation. As an independent legal personality, a corporation has ma ny characteristics. But there are only two essential factors: independent proper ty and independent ideas. Therefore, in the reformation of the state-owned enter prises, we should ensure a corporation's independent legal personality. |
