电子商务合同成立的若干法律问题探析

电子商务合同是以电子网络为载体的新型贸易的协议形式 ,其与传统商务合同相比较有着重大的形式差异。在表现形式上 ,电子商务合同也具有表意内容 ,也可以保存、调取、阅读 ,符合书面构成的条件而具有书面性 ;在签名的法律效力上 ,电子签名特别是数字签名经过认证机构的注册、证明 ,从而也具备了传统签名的真实性、耐久性和独特性 ;在合同的订立程序上 ,要约和承诺的生效时间也采用传统的“到达主义” ,但在判断“到达”以及“撤回”的时间标准上应比传统方式更加合理和宽容 ,而采用“等待阅读”的合理时间作为承诺生效的认定条件。因此 ,建立合理有效的电子商务合同法律制度是电子商务合同研究中的重要内容 ,它将有助于我国电子商务立法的完善和经济贸易的发展

The Analysis of the Law Problems in the E-commerce Contract Validation
